NAVIMATE — Terms of Service

Last updated: [8/16/2026]

These Terms of Service (“Terms”) govern your access to and use of NAVIMATE (navimate.world), including our website, apps, and services (collectively, the “Platform”). By creating an account or using the Platform, you agree to these Terms. If you don’t agree, don’t use the Platform.

NAVIMATE is operated by [LEGAL ENTITY NAME] (“NAVIMATE,” “we,” “us”).

1. What NAVIMATE Is

NAVIMATE is a marketplace that connects travelers (“Travelers”) with independent local companions (“Companions,” “Mates”) who offer companionship, local knowledge, and travel assistance services (“Services”).

NAVIMATE is a marketplace, not a travel agency, tour operator, or employer. Companions are independent individuals, not NAVIMATE employees, agents, or contractors. NAVIMATE does not provide the Services itself — it provides the platform that lets Travelers and Companions find each other, communicate, and arrange bookings.

2. Eligibility

  • You must be at least 18 years old to create an account.
  • You must provide accurate, current information and keep it updated.
  • You’re responsible for all activity under your account and for keeping your login credentials secure.
  • NAVIMATE may refuse, suspend, or terminate accounts at its discretion, including for violations of these Terms.

3. Accounts: Travelers & Companions

3.1 Travelers

Travelers may browse Companion profiles, message Companions, and request bookings.

3.2 Companions

Companions apply to join the Platform and must complete NAVIMATE’s verification process before their profile is publicly visible. Verification confirms identity and basic profile information — it is not a certification of guiding skill, language proficiency, or professional qualification. Travelers should independently assess whether a Companion suits their needs.

Companions are solely responsible for:

  • The accuracy of their profile, pricing, and availability
  • Complying with any applicable local laws, licensing, or tax obligations related to offering their Services
  • The conduct, quality, and safety of the Services they provide

4. Bookings, Pricing & Payment

  • Prices are set by Companions (subject to any Platform minimums) and displayed in the currency shown at booking.
  • NAVIMATE charges a service commission on completed bookings, deducted from the Companion payout. Current rates are shown at checkout / in the Companion dashboard.
  • Payment is processed through NAVIMATE’s designated payment provider(s). Available payment methods may vary by region and are subject to change.
  • Funds for a booking are typically held until the Service is completed, then released to the Companion, minus commission, subject to NAVIMATE’s payout schedule.
  • Off-platform payment is discouraged. Bookings and payments arranged outside NAVIMATE are not covered by any Platform protections, dispute support, or trust mechanisms.

5. Cancellations & Refunds

  • [Traveler cancellation window / refund tiers — e.g., full refund if cancelled 48+ hours before start, 50% within 24–48 hours, no refund inside 24 hours]
  • full refund to Traveler if Companion cancels.
  • No-shows by either party may be reported and can affect account standing.
  • NAVIMATE may mediate disputes over cancellations but is not obligated to issue refunds outside its stated policy.

(This section needs Navid’s actual policy decisions before publishing — placeholders above.)

6. Conduct

By using the Platform, you agree not to:

  • Provide false identity, profile, or verification information
  • Harass, threaten, discriminate against, or endanger another user
  • Use the Platform for any illegal purpose, including facilitating illegal activity
  • Solicit or arrange payment outside the Platform to avoid commission
  • Post content that is abusive, sexually explicit, or otherwise violates NAVIMATE’s community standards
  • Attempt to scrape, reverse-engineer, or interfere with the Platform’s operation

Violations may result in warnings, suspension, or permanent removal, at NAVIMATE’s discretion.

7. Safety & Assumption of Risk

NAVIMATE facilitates introductions between Travelers and Companions but does not supervise, control, or guarantee any in-person meeting, activity, or interaction.

By using the Platform, you acknowledge and agree that:

  • Meeting a stranger, traveling with them, and participating in local activities carries inherent risk.
  • NAVIMATE conducts identity verification but cannot guarantee the conduct, safety, reliability, or intentions of any user.
  • You are responsible for your own safety decisions, including where you meet, what you share, and what activities you agree to.
  • You should independently verify anything critical to your safety (e.g., transportation, activity risk, local laws) before proceeding.
  • NAVIMATE strongly recommends meeting in public places initially and sharing your itinerary with someone you trust.

To the maximum extent permitted by law, NAVIMATE is not liable for injury, loss, theft, or damage arising from interactions or Services arranged through the Platform.

8. Reviews & Ratings

  • Reviews must reflect genuine experiences and comply with NAVIMATE’s review guidelines.
  • NAVIMATE may remove reviews that are fraudulent, abusive, or violate these Terms.
  • Manipulating reviews (fake accounts, incentivized reviews without disclosure, retaliatory reviews) is prohibited.

9. Intellectual Property

  • The NAVIMATE name, logo, and platform content are owned by NAVIMATE and may not be used without permission.
  • Content you post (profile info, photos, reviews, messages) remains yours, but you grant NAVIMATE a license to display and use it to operate and promote the Platform.
  • You’re responsible for ensuring you have rights to anything you upload.

10. Disclaimers

The Platform is provided “as is.” NAVIMATE makes no warranties, express or implied, regarding:

  • The accuracy or completeness of Companion or Traveler profiles
  • The quality, safety, or legality of Services arranged through the Platform
  • Uninterrupted or error-free operation of the Platform

11. Limitation of Liability

To the maximum extent permitted by law, NAVIMATE and its officers, employees, and affiliates are not liable for indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to personal injury, loss of property, missed travel plans, or disputes between Travelers and Companions. NAVIMATE’s total liability for any claim will not exceed the amount of commission it earned on the relevant booking.

(Some jurisdictions don’t allow certain liability limitations — this clause should be reviewed by legal counsel for enforceability in your target markets.)

12. Disputes Between Users

NAVIMATE may, at its discretion, assist in resolving disputes between Travelers and Companions (e.g., via its support/reporting system) but is not obligated to act as an arbitrator and is not a party to the underlying agreement between Traveler and Companion.

13. Termination

You may close your account at any time. NAVIMATE may suspend or terminate your access for violation of these Terms, suspected fraud, safety concerns, or at its discretion with or without notice, subject to applicable law.

14. Changes to These Terms

NAVIMATE may update these Terms from time to time. Material changes will be communicated via the Platform or email. Continued use after changes take effect constitutes acceptance.
